Terms of Service

Welcome to Cynetra Interface. These Terms of Service ("Terms") govern your access to and use of our advisory services, website, and related offerings. By engaging with our services, you agree to be bound by these Terms.

Important Notice: Cynetra Interface provides UX consulting and interface advisory services exclusively. We do not provide software development, hosting, server management, or ongoing technical support for client systems.

1. Services Overview

Cynetra Interface offers specialized consulting services focused on user experience analysis, interface auditing, and strategic recommendations. Our services include:

  • Interface Audits: Comprehensive evaluation of user interface structure, visual hierarchy, navigation patterns, and design consistency
  • User Behavior Analysis: Non-technical assessment of user journey mapping, interaction patterns, and conversion funnel evaluation
  • Strategic Recommendations: Delivery of actionable reports containing prioritized improvement suggestions and implementation roadmaps
  • UX Consultation: Advisory sessions to discuss findings, clarify recommendations, and provide strategic guidance

2. Scope Limitations

2.1 What We Do Not Provide

Our services are strictly advisory and consultative. We explicitly do not offer:

  • Software development or coding services
  • Website hosting or server infrastructure management
  • Ongoing technical maintenance or support
  • Implementation of recommended changes (unless explicitly contracted separately)
  • Third-party integrations or plugin development
  • Data migration or database management
  • Security monitoring or penetration testing

2.2 Client Responsibilities

Clients are responsible for:

  1. Implementing recommendations using their own development resources or hired contractors
  2. Maintaining their own hosting, domain registration, and technical infrastructure
  3. Ensuring proper backups of their systems before making any changes
  4. Obtaining necessary permissions and access credentials for analysis purposes
  5. Complying with all applicable laws and regulations in their jurisdiction

3. Engagement Process

3.1 Project Initiation

All projects begin with a discovery phase where we assess your platform, objectives, and specific analytical needs. Following this assessment, we provide a detailed proposal outlining scope, timeline, and deliverables.

3.2 Access Requirements

To conduct thorough analysis, we may require temporary access to your platform, analytics data, or related documentation. All access is handled securely and confidentially. You retain the right to revoke access at any time, though this may impact project completion.

3.3 Timeline and Deliverables

Project timelines are established during the proposal phase and depend on platform complexity and scope. Standard deliverables include comprehensive written reports, annotated documentation, and consultation sessions. Timelines may be extended due to unforeseen technical complexities or delayed client responses.

4. Payment Terms

4.1 Pricing Structure

Services are priced on a project basis, with rates determined by scope, complexity, and required analysis depth. All pricing is communicated clearly in writing before project commencement.

4.2 Payment Schedule

Unless otherwise specified in the project agreement:

  • 50% deposit required before project initiation
  • Remaining 50% due upon delivery of final reports and recommendations
  • Payment must be received in full before final deliverables are released

4.3 Late Payments

Invoices not paid within 30 days of issuance may be subject to a late fee of 1.5% per month or the maximum allowed by law, whichever is lower. Continued non-payment may result in project suspension or termination.

5. Intellectual Property

5.1 Client Ownership

Upon full payment, all deliverables created specifically for your project (reports, recommendations, documentation) become your property. You are granted a perpetual, non-exclusive license to use these materials.

5.2 Cynetra Interface Retention Rights

We retain the right to:

  • Use anonymized case studies and methodologies for marketing purposes
  • Reference general project outcomes (without revealing confidential information) in portfolio materials
  • Retain analytical frameworks and proprietary assessment methodologies

5.3 Third-Party Materials

Any third-party tools, frameworks, or resources referenced in our analysis remain the property of their respective owners. We do not claim ownership of client platforms, content, or existing intellectual property.

6. Confidentiality

We treat all client information with strict confidentiality. We will not disclose:

  • Proprietary business strategies or competitive intelligence
  • User data, analytics, or behavioral information
  • Technical architecture details or security vulnerabilities
  • Financial information or business performance metrics

Exceptions apply only when disclosure is required by law or with explicit written consent.

7. Warranties and Disclaimers

7.1 Professional Standards

We commit to providing services with professional diligence, industry best practices, and evidence-based methodologies. All analysis and recommendations are provided in good faith based on available information.

7.2 No Guarantees of Results

Important: While we provide expert recommendations, we cannot guarantee specific business outcomes, conversion improvements, or user behavior changes. Results depend on implementation quality, market conditions, and factors outside our control.

7.3 Limitation of Liability

To the maximum extent permitted by law, Cynetra Interface shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of revenue, profits, or business opportunities
  • Data loss or system downtime resulting from implementation of recommendations
  • Third-party actions or failures

Our total liability shall not exceed the total fees paid for the specific project in question.

8. Termination

8.1 Client Termination

You may terminate a project at any time with written notice. In such cases:

  • You remain responsible for payment of all work completed to date
  • Partial deliverables may be provided at our discretion
  • Deposits are non-refundable unless termination is due to our material breach

8.2 Our Termination Rights

We reserve the right to terminate if:

  • Payment terms are violated
  • Client provides false or misleading information
  • Required access or cooperation is not provided
  • Client engages in abusive or unprofessional conduct

9. Dispute Resolution

In the event of disputes, parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Owensboro, Kentucky.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated "Last Updated" date. Continued use of our services after modifications constitutes acceptance of updated Terms.

11. Governing Law

These Terms are governed by the laws of the Commonwealth of Kentucky and the United States, without regard to conflict of law principles.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

13. Entire Agreement

These Terms, together with any project-specific agreements or proposals, constitute the entire agreement between you and Cynetra Interface regarding our services and supersede all prior communications and proposals.
